As Chief Privacy Officer (CPO), Brian Clayton is a corporate executive charged with developing and implementing policies designed to protect employee and customer data from unauthorized access for a fortune 500 company.
As VP and Associate General Counsel, I coordinate with the senior executives, my legal team and corporate departments (e.g. finance & accounting, tax, procurement, sales, compliance, risk, etc.) to manage a broad range of corporate matters across the entire organization (domestically and internationally) and provide legal service and oversight of the company’s legal affairs, including but not limited to: (i) oversight and coordination of large, complex commercial transactions; (ii) identification and analysis of corporate and transaction-specific business and legal risks and development of strategies to mitigate such risks; (iii) analysis and due diligence of mergers, acquisitions and divestitures; (iv) oversight and management of litigation and HR matters; (v) SEC, risk, compliance and privacy matters; (vi) collection matters; (vii) real estate transactions and management; (viii); oversight and management of the legal workflow for legal matters; (ix) management of outside counsel and (x) day-to-day corporate legal functions.
